TERMS OF SERVICES

This FinalFile User Agreement (this "Agreement") sets out the terms and conditions on which we, FinalFile Inc. ("we", "our" or "FinalFile"), provide our file transfer service (the "Service") to you ("you" or "your") through our website www.finalfile.com and any FinalFile mobile application through which you access our website or Service (including, without limitation, any mobile website, mobile application, affiliate or related website for accessing our website or Service that may be developed from time to time) (collectively, the "Website"). By using the Website and/or the Service, you accept and agree to be bound to this Agreement, which includes any other terms or policies referenced herein, including but not limited to our Privacy Policy. If you do not accept this Agreement, you should leave the Website immediately, and you will not be able to use our Service. If you are accepting or agreeing to this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to this Agreement. We recommend that you read this Agreement carefully.

FinalFile reserves the right, at its sole discretion, to modify the Website, the Service or this Agreement at any time and without prior notice. Any revisions to this Agreement will be posted on the Website (with an updated "Last updated" date) or we will otherwise provide you with notice of the modification. We recommend that you review the Website from time to time and take note of any changes. If you do not agree with any updated or amended Agreement you should cease accessing or using the Website and/or the Service. Any future or continued use of the Website and/or the Service will be governed by the modified Agreement. For greater clarity, you will be subject to the Agreement in force at the time you access or use the Website and/or use the Service.

PART ONE: USE OF SERVICE
1. ELIGIBILITY

The Website and Service is intended solely for persons who are 18 years old or older. By accessing or using the Website or Service, you represent and warrant that you are legally capable of entering into binding contracts and are at least 18 years old.

2. SERVICE OVERVIEW

FinalFile provides the infrastructure and facilities to transmit up to 2 gigabytes of data or any number of digital files ("File" or "Files") from a specified sender (the "Sender") to a designated recipient or recipients ("Recipient" or "Recipients") over the Internet through the Website. FinalFile transfers a variety of Files. All File transfers between a Sender and a Recipient are treated confidentially. FinalFile does not check the type of File or open or view the content of Files being sent. FinalFile does not claim any ownership over the Files a Sender transfers through our Service and a Sender is solely responsible for the Files it wishes to transfer through our Service. By using the FinalFile Service you acknowledge and agree that FinalFile is not responsible for any failure of the Service to store, transfer or delete a File or for the corruption or loss of any data, information or content contained in a File.

Uploaded Files are stored on FinalFile's servers for a maximum period of 120 hours, after which the Files are permanently deleted to make room for new transfers. Each File can be sent to 1 email address per transfer. Once you have uploaded the applicable File(s), both the Sender and the Recipient receive a confirmation email, with information and instructions on how to download the File(s).

A File sent through our Service is encrypted and cannot be opened, read or saved by anyone until it has been fully downloaded by the Recipient. A File cannot be downloaded by a Recipient until the required payment has been successfully processed and validated by FinalFile. The Sender will receive a confirmation email when a File has been successfully downloaded.

3. HOW TO DOWNLOAD A FILE AND HOW IT IS PROCESSED

3.1 Downloading a File
The Recipient of a File will receive an email indicating that a File has been sent to them, the name of the sender and the payment that must be made in order to download the File. Once the Recipient has provided FinalFile with the required payment information and the payment has been authorized, the Recipient is given the opportunity to download the File by clicking or selecting the "Download File" or similar button. It is important that the Recipient check all the payment information entered and corrects any errors before proceeding as once clicked, errors cannot be corrected. Payments submitted by a Recipient are held by FinalFile for three business days before they are applied to the applicable Sender's FinalFile Account (as hereafter defined and described in Section 4). Where any payment made by a Recipient is not authorized, the applicable File will not be made available to Recipient for download.

3.2 Payment Refunds
Once a Recipient has submitted a download request and payment has been authorized, the Recipient will not be entitled to a refund or to cancel the download. If there is a discrepancy in the File provided by a Sender and the Recipient wishes to seek a refund, the Recipient should contact the Sender directly to lodge their complaint, and where appropriate, follow the Sender's own complaint procedures. If Recipient is unable to reach the Sender, or the Sender refuses to deal with Recipient's complaint, Recipient can contact our Customer Care team as described in Section 8 within 48 hours of receiving the File. FinalFile will attempt to contact the Sender in order to resolve the dispute and request compensation on Recipient's behalf if the dispute ends in the Recipient's favour. However, there is no guarantee that we will be able to reach the Sender or that the Sender will agree to any requests. Please note that we have no control over Senders and the quality of the Files they provide, and we are not able to provide, and have no responsibility or liability for providing any compensation to Recipient on behalf of any Sender.

4. DOWNLOADING A FILE

4.1 Account Registration
You do not need to open an account with FinalFile (a "FinalFile Account") in order to use the Services. However, a Sender WILL need to open an account in order to receive owed funds. Our registration process will ask you for information including your name and other personal and banking information. You must provide accurate and complete information in response to our questions. You must also keep the information that you provide up-to-date.

4.2 Verification and Inspection
If your request to open a FinalFile Account is approved, FinalFile may request additional information, including government issued identification such as a passport or driver's license, or a business license. If you refuse our requests, your FinalFile Account may be terminated. We reserve the right to suspend or terminate the FinalFile Account of any Sender who provides inaccurate, untrue, or incomplete information required under this Agreement, including failure to comply with the FinalFile Account registration requirements.

4.3 Underwriting
FinalFile will review some or all of the information that you submit in connection with your request to sign up for the Services. FinalFile may forward such information on to its processor. In order to be eligible to use the Services, you must agree that FinalFile may share information about you and your FinalFile Account with its bank and/or processor, which may or may not be located in Canada. After you submit your application, FinalFile, its bank or its processor may conclude that you will not be permitted to use the Services.

In addition to the verification and inspection information that may be requested by FinalFile from you pursuant to this Section 4, by accepting the terms of this Agreement, you specifically authorize FinalFile to request identity verifying information about you, including, but not limited to, (a) a consumer and/or credit report that contains your name and address and may contain "credit information" such as age, occupation, place of residence, previous places of residence, marital status, spouse's name and age, number of dependents, particulars of education or professional qualifications, places of employment, previous places of employment, estimated income, paying habits, outstanding debt obligations, cost of living obligations and assets and other personal information, and (b) to the extent applicable, a confirmation from the appropriate governmental authority of your corporation's legal existence. FinalFile may periodically obtain additional reports to determine whether you continue to meet the requirements for a FinalFile Account.

You agree that FinalFile is permitted to contact and share information about you and your application (including whether you are approved or declined), and your FinalFile Account with your bank, our bank or other financial institutions. This includes sharing information (a) about your transactions for regulatory or compliance purposes, (b) for use in connection with the management and maintenance of the service, (c) to create and update their customer records about you and to assist them in better serving you, and (d) to conduct FinalFile's risk management process.

4.4 Dormant FinalFile Accounts
If there is no activity in your FinalFIle Account (including access or payment transactions) for at least two consecutive years we will close your FinalFile Account. If you have a balance, we will notify you by sending an email to your registered email address and give you the option of keeping your FinalFIle Account open and maintaining the balance, withdrawing the balance, or requesting a cheque. If you do not respond to our notice within 30 days, we will automatically close your FinalFIle Account and transfer the remaining balance in accordance with applicable law, and if permitted, to FinalFile.

4.5 Access to FinalFile Account Funds
Once your bank account information is verified, subject to the payout schedule identified below, we will deposit to your FinalFile Account the amounts actually received by us from a Recipient for a File you submitted through the Services less any applicable Fees (as set forth in Section 5.10 below). In the event that you do not have an ACH-enabled FinalFile Account, you may request a physical cheque. Cheque requests will be subject to a CND$5.00 processing fee and an identity verification process.

Funds for any given transaction will not be deposited into your bank account until the transaction is deemed complete. Transactions will be deemed complete when we have received or sent the funds and when we or the designated financial institutions has accepted the transaction or funds. You are responsible for monitoring your transactions and ensuring that our payments to you are correct. You must notify us of any errors in payments made to you within 60 days of the error first appearing on your electronic transaction history. Failure to notify us of such an error will be deemed a waiver of any right to amounts owed to you.

4.6 Payout Schedule
Once you validate your bank account, FinalFile will automatically initiate a payout to your bank account at the end of every business day. Payouts to your bank account can take up to 5 business days to register.

4.7 Availability of Funds
Should FinalFile need to conduct an investigation or resolve any pending dispute related to your FinalFile Account, we may defer payout or restrict access to your funds for the entire time it takes for us to do so. We also may defer payout or restrict access to your funds as required by law or court order, or if otherwise requested by law enforcement or governmental entity.

4.8 FinalFile Account History
When a payment is made to your FinalFile Account, we will update your FinalFile Account activity on the website and provide you a transaction confirmation. The confirmation will serve as your receipt. Summaries of your FinalFile Account activity, including monthly statements, are available on our website for up to one year. Except as required by law, you are solely responsible for (a) compiling and retaining permanent records of all transactions and other data associated with your FinalFile Account and your use of the Services, and (b) reconciling all transactional information that is associated with your FinalFile Account. If you believe that there is an error or unauthorized transaction activity is associated with your FinalFile Account, you agree to contact us immediately.

5. PRICE & PAYMENT

5.1 Your Authorization
By accepting the terms of this Agreement, you authorize us to hold, receive, and/or disburse funds on your behalf. Your authorization permits us to generate a paper draft or an electronic funds transfer to process each payment transaction that you authorize. Your authorizations will remain in full force and effect until FinalFile has completed the transactions relating to the authorizations or until your FinalFile Account is closed or terminated, as applicable.

5.2 Taxes
Prices for Files are set by the Sender and it is the Sender's responsibility to add all sales tax to the final price quoted. Any tax exemptions should be discussed with the Sender directly. Furthermore, it is your responsibility to determine what, if any, taxes apply to the payments you make or receive, and it is your responsibility to collect, report and remit the correct tax to the appropriate tax authority. FinalFile is not responsible for determining whether taxes apply to your transaction, or for collecting, reporting or remitting any taxes arising from any transaction.

5.3 Incorrect pricing
FinalFile is not responsible for the prices issued by the Sender. FinalFile is under no obligation to ensure that the File is provided to you at the correct price or to compensate you in respect of incorrect pricing. If the price is incorrect it is the responsibility of the Recipient to have the Sender resend the file with the correct price.

5.4 Payment methods
Payment for Files must be made by PayPal or an accepted credit or debit card through the Website. When paying by credit or debit card, you may be required to give additional information to verify your identity. Please note that from time to time there may be delays with the processing of card payments and transactions; this may result in payments taking up to 60 days to be deducted from your bank account or charged to your credit or debit card. Because of standard banking procedures, once you have submitted a File that you are paying for by credit or debit card and your payment has been authorized, your bank or card issuer will "ring-fence" the full amount of your File.

5.5 Accuracy of information
You are responsible for confirming the accuracy of the information you provide about each payment you send, including the email address or telephone number of the Sender receiving the payment, and the amount of the transaction.

5.6 Receiving Limits

A minimum payment of CND$50.00 must be made by a Recipient for a File sent through our Service and the following payment limits are imposed on payment options offered to Recipients:

We may, at our discretion, impose additional limits on the amount of money you can receive through the FinalFile Service. You will be notified by email if a limit is imposed and what that limit is.

5.7 Payment Review
Payment review is a process by which FinalFIle reviews certain potentially high-risk transactions. If a payment is subject to payment review, FinalFile will place a hold on the payment and provide notice to the Sender and Recipient. FinalFile will conduct a review and either clear or cancel the payment. FinalFile will provide notices to you by email and in the History subtab of your Account Profile.

5.8 Reversals, Chargebacks and Claims
When you receive a payment, you are liable to FinalFIle for the full amount of the payment sent to you plus any Fees (as set forth in Section 5.10) if the payment is later invalidated for any reason. This means that, in addition to any other liability, you will be responsible for the amount of the payment sent by the Recipient, plus the applicable Fee, if you lose a Chargeback (as further discussed and defined below in Section 6), or if there is a reversal of the payment. You agree to allow FinalFile to recover any amounts due to FinalFile by debiting the balance in your FinalFile Account. If there are insufficient funds in your FinalFile Account to cover your liability, you authorize FinalFile to withdraw the funds from your bank account registered with FinalFile. If a Recipient files a Chargeback, the credit card issuer, not FinalFile, will determine who wins the Chargeback. All chargebacks and reversals will be made in the same currency as the original transaction. If your transaction must be charged-back or reversed and you do not have the correct currency available in your FinalFile Account, a currency conversion will be performed.

5.9 No Surcharges.
You agree that you will not impose a surcharge or any other fee for accepting FinalFile as a payment method.

5.10 FinalFile Fees
FinalFile charges a Sender the following fees (the ?Fees?). Fees associated with sending a File are expressed as a percentage of the payment amount. All Fees are in Canadian Dollars for Canadian Accounts and US Dollars for US and International Accounts.

6. CHARGEBACKS

6.1 Sender's Liability for Chargebacks
The amount of a transaction may be reversed or charged back to a Sender's FinalFile Account (a "Chargeback") if the transaction (a) is disputed, (b) is reversed for any reason by our processor, or a Recipient's or our financial institution, (c) was not authorized or we have any reason to believe that the transaction was not authorized, or (d) is allegedly unlawful, suspicious, or in violation of the terms of this Agreement.

6.2 Our Collection Rights for Chargebacks
For any transaction that results in a Chargeback, we may put a hold on the balance in the applicable Sender's FinalFile Account representing the amount of the Chargeback and associated Fee. Further, we may deduct the amount of any Chargeback and associated Fee, from the applicable Sender's FinalFile Account, any proceeds due to the Sender, the Sender's bank account, or other payment instrument registered with us. If the Sender has pending Chargebacks, we may delay payouts from the Sender's FinalFile Account. To be clear, if there is no balance or an insufficient balance in the Sender's FinalFile Account to cover the Chargeback and the associated Fee, we will withdraw the funds from their bank account or other payment instrument registered with us. Further, if we reasonably believe that a Chargeback is likely with respect to any transaction, we may withhold the amount of the potential Chargeback from payments otherwise due to the Sender under this Agreement until such time that: (a) a Chargeback is assessed to be due to a Recipient's complaint, in which case we will retain the funds; (b) the period of time under applicable law or regulation by which the Recipient may dispute that the transaction has expired; or (c) we determine that a Chargeback on the transaction will not occur. If we are unable to recover funds related to a Chargeback for which a Sender is liable, the Sender must pay us the full amount of the Chargeback immediately upon demand. Furthermore, the applicable Sender agrees to pay all costs and expenses, including without limitation attorneys' fees and other legal expenses, incurred by or on behalf of us in connection with the collection of all FinalFile Account deficit balances unpaid by such Sender.

If we determine that a Sender is incurring an excessive amount of Chargebacks, we may establish controls or conditions governing such Sender's FinalFile Account, including without limitation, by (a) establishing new processing fees, (b) creating a reserve in an amount reasonably determined by us to cover anticipated Chargebacks and related fees, (c) delaying payouts, and (d) terminating or suspending the Services.

6.3 Contesting Chargebacks
You agree to assist us when requested, at your expense, to investigate any of your transactions processed through the Service. To that end, as a Sender, you permit us to share information about a Chargeback with the Recipient, the Recipient's financial institution, and your financial institution in order to investigate and/or mediate a Chargeback. We will request necessary information from you to contest the Chargeback. If the Chargeback is contested successfully, we will release the reserved funds to your FinalFile Account. If a Chargeback dispute is not resolved in your favour by us or the issuing bank or you choose not to contest the Chargeback, we may recover the Chargeback amount and any associated Fees as described in this Agreement. You acknowledge that your failure to assist us in a timely manner when investigating a transaction, including providing necessary documentation within 15 days of our request, may result in an irreversible Chargeback. We reserve the right, upon notice to you, to charge a fee for mediating and/or investigating Chargeback disputes.

6.4 Our Set-off Rights
To the extent permitted by law, we may set off against a Sender's FinalFile Account balance for any obligation owed to us under this Agreement, including without limitation any Chargebacks. All Fees are charged at the time we process a transaction and are deducted first from the transferred or collected funds and thereafter from the balance in the Sender's FinalFile Account. If a Sender owes us an amount that exceeds the balance in their FinalFile Account, we may charge or debit a bank account or payment instrument registered in their FinalFile Account. A Sender's failure to fully pay amounts owed to us on demand will be a breach of this Agreement. Such Sender will be liable for our costs associated with collection in addition to the amount owed, including without limitation legal fees and expenses and collection agency fees.

6.5 Assumption of Rights
If FinalFile pays out a claim, reversal or Chargeback that you file against a recipient of your payment, you agree that FinalFile assumes your rights against the recipient and third parties related to the payment, and may pursue those rights directly or on your behalf, at FinalFile's discretion.

7. DISPUTES WITH FINALFILE

7.1 Disputes
If a dispute of any kind arises, we want to understand and address your concerns quickly and to your satisfaction. Please contact the FinalFile Help Center with any dispute. If we cannot resolve your concerns, we agree to a dispute resolution process requiring arbitration in accordance with Section 7.2 below. "Disputes" between you and FinalFile ("FinalFile" includes its processors, suppliers or licensors (or their respective affiliates, agents, directors or employees)) are defined for the purposes of this Agreement to include any claim, controversy, or dispute (whether involving contract, tort, equitable, statutory, or any other legal theory) between you and FinalFile including but not limited to any claims relating in any way to this Agreement (including its breach, termination, or interpretation), any other aspect of our relationship, FinalFile advertising, and any use of the Services. "Disputes" also include any claims that arose before this Agreement and that may arise after termination of this Agreement.

7.2 Binding Arbitration
You and FinalFile agree, except as stated in the last sentence of this paragraph, that any controversy arising under, out of, or in conjunction with or relating to this Agreement shall be determined and settled by arbitration in accordance with the laws of Ontario. Any award resulting from such arbitration shall be final and binding on you and FinalFile and their respective representatives and judgment may be entered on such award in any court having jurisdiction. The arbitrator shall not have the power to award special, incidental, indirect, consequential or punitive damages. The expense of any arbitration shall be borne by you and FinalFile in the proportions the arbitrator shall determine. Any arbitration hearing will occur in Toronto, Ontario, or another mutually agreeable location. Notwithstanding the above, both parties reserve the full and unrestricted right to enforce all of their legal rights and remedies whether in contract, common law, equity or otherwise.

8. CUSTOMER CARE

If a Recipient is having any problems or questions with a File, we recommend that they try to contact the Sender directly in the first instance to discuss the issue. Our experience indicates that this is likely to be the most efficient way of resolving the problem. Notwithstanding the foregoing, customer care is extremely important to us. Accordingly, if you are unable to resolve your problems or questions directly with a Sender or Recipient, our Customer Care team will try to assist you where possible (subject to resource availability). You can contact our Customer Care team by clicking or selecting the "Help Center" or similar button or by emailing us at the electronic address shown on the Website.

You, as the Sender, are solely responsible for all customer service issues relating to your Files, including pricing, order cancellation, refunds and adjustments, technical support, and feedback concerning experiences with your personnel, policies or processes. In performing customer service, you will always present yourself as a separate entity from us. As between you and us, we are solely responsible for customer service issues relating to any FinalFile Account, payment, card processing, debiting or crediting.

9. ACCEPTABLE USE POLICY

9.1 Use of the Website
You are permitted to use the Website and print and download extracts from the Website for your own personal non-commercial use on the condition that: (i) you do not misuse the Website, including by hacking or "scraping", accessing non-public areas of the Website, or attempt to probe, scan, compromise or test the vulnerability of the Website or any related system or network or breach any security or authentication; (ii) the copyright and other intellectual property rights in the Website and material published on it (including without limitation photographs and graphical images) are owned by us, unless otherwise stated and are protected by copyright laws, trademark laws, and other intellectual property laws and treaties, both in Canada and around the world and all rights therein are reserved; (iii) you must not modify the digital or paper copies of any materials that you print off the Website and you must not use any pictures, photographs or any other graphics, video or audio sequences separately from any accompanying text; (iv) you must ensure that the status of FinalFile as the author of the material on the Website is always acknowledged; and (v) you are not allowed to use any of the materials on the Website or the Website itself for commercial or other purposes not expressly permitted by this Agreement without obtaining a licence from us to do so.

The Website may not be used, and no part of the Website may be reproduced or stored in any other website or included in any public or private electronic retrieval system or service, without our prior written permission.

Access to the Website may be suspended temporarily at any time and without notice. The transmission of information via the internet is not completely secure. Although we take the steps required by law to protect your information, we cannot guarantee the security of your data transmitted to and through the Website. Any transmission is at your own risk.

9.2 Use of the Service
You understand and agree that you are solely responsible for compliance with any and all laws, regulations and tax obligations that may apply to your use of FinalFile's Website and/or Service. In connection with and as a condition of your use of the Website and Service, you agree not to,

  • (i) to infringe on any rights, including privacy or intellectual property rights or to promote, enable or facilitate others to infringe on any rights;
  • (ii) violate any local, provincial, federal or other law or regulation or any order of a court;
  • (iii) use the Service for any commercial or other purposes that are not expressly permitted by this Agreement;
  • (iv) impersonate or pretend affiliation with any person or entity;
  • (v) send viruses, worms, malware, junk mail, spam, chain letters, phishing mails, unsolicited promotions or advertisements of any kind and for any purpose;
  • (vi) transfer any Files that (a) feature child pornography; (b) promote racism, violence or hatred; (c) are false or misleading; (d) you don?t have the right to copy and/or transfer; (e) infringe on intellectual property rights; (f) violate privacy rights, including data protection rights; or (g) infringe on or violate any applicable law or regulation.

FinalFile reserves the right to investigate and/or remove, without warning, any Files from its servers or block you from accessing the Website or Service, when FinalFile finds, at its own discretion, or receives substantiated and valid complaints, that you violate this Agreement including the Privacy Policy or act in violation of any applicable law or regulation. FinalFile reserves the right to disclose Files in so far necessary, (i) to defend itself in legal proceedings; (ii) to follow a court order; (iii) to abide by any law, regulation or governmental request; (iv) to safeguard national security, defence, public security or public health; and v) to uphold this Agreement.

10. USER MATERIAL

10.1 General
Except personal information, which is covered under our Privacy Policy, any material you post, upload or transmit to the Website (including, without limitation, any reviews) ("User Material") will be considered non-confidential and non-proprietary. By posting, uploading or transmitting any User Material, you warrant and represent that you own or otherwise have all necessary intellectual property and moral rights in and to such User Material including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the User Material to the Website. Furthermore, you hereby grant to FinalFile a non-exclusive, royalty-free, perpetual, irrevocable, transferable license to use, refrain from using, remove, reproduce, modify, edit, copy, adapt, publish, translate, create derivative works from, distribute, transmit, perform, display and otherwise use the User Material, in whole or in part, worldwide in all manner and media whether now known or later developed. If requested, you shall provide waivers in favour of FinalFile with respect to any and all moral rights in the User Materials held by any individuals who may be authors of such User Materials.

10.2 User Material Policy
You are prohibited from posting, uploading or transmitting to or from the Website any User Material (including any reviews) that: (i) breaches any applicable municipal, provincial, federal or international law; (ii) is unlawful or fraudulent; (iii) amounts to unauthorised advertising; (iv) contains any defamatory, obscene or offensive material; (v) promotes violence or discrimination; (vi) infringes the intellectual property rights of a third party; (vii) breaches any legal duty owed to a third party (such as a duty of confidence); (viii) promotes illegal activity or invades another?s privacy; (ix) gives the impression that it originates from FinalFile; or (x) contains viruses or any other harmful programs.

10.3 Removal of User Material
The prohibited acts listed above are non-exhaustive. User Material reflects the opinions of users who have used the Services through the Website or other third parties, and any statements, advice or opinions provided by such persons are theirs only. Accordingly, to the fullest extent permitted by law, FinalFile assumes no responsibility or liability to any person for any User Material, including without limitation any mistakes, defamation, obscenity, omissions or falsehoods that you may encounter in any such materials.

10.5 Disclosure to authorities and courts
You acknowledge that we will fully co-operate with any competent authority requesting or directing us to disclose the identity or location of anyone posting any User Material in breach of 6.2 above or our Acceptable Use Policy and you release FinalFile to the fullest extent permitted by law from all liability in relation to such disclosure.
